These Terms govern your access to and use of the websites and online properties operated by QUONtech LLC.
These Terms of Use, together with any documents referenced in them (collectively, these “Terms”), govern your access to and use of the websites and online properties operated by QUONtech LLC (“QUONtech,” “we,” “us,” or “our”), including quon.tech, quon.live, quonlab.com and portal.quonlab.com, forcisos.com, the 404 Human Found properties, and any other site that links to these Terms (each a “Site” and together the “Sites”).
These Terms cover use of the Sites and their public content. They do not govern paid consulting engagements or use of the QUONlab client portal under a client agreement. Those relationships are governed by the separate written agreement between you or your organization and QUONtech, which controls if there is any conflict with these Terms.
By accessing or using any Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Sites.
We may update these Terms at any time. Changes take effect when posted, and the “Effective Date” at the bottom will reflect the most recent revision. Your continued use after a change means you accept the updated Terms.
The Sites contain text, images, documents, guides, videos, tools, framework materials, assessment outputs, and other content describing QUONtech's services (collectively, “Site Content”). Some Site Content is public. Some, such as the QUONlab portal and approved areas of quon.live, is restricted and available only to authorized users.
Subject to these Terms, QUONtech grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Sites and Site Content for your own informational and business evaluation purposes.
You agree that you will not:
Some areas of the Sites, including the QUONlab portal and approved demo access on quon.live, require an account. Account sign-in and identity for QUONlab are handled through our authentication provider. You agree to provide accurate information, not to impersonate anyone, and to keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly if you believe your account has been compromised.
QUONlab is a multi-tenant portal. Where your organization uses QUONlab, the data your organization places into it (“Client Data”) is isolated to your organization's tenant and is processed by QUONtech on your organization's behalf under the separate client agreement and, where applicable, a data processing addendum. Your organization is responsible for the accuracy of its Client Data and for the actions of the users it authorizes. These Terms do not grant any right to access another tenant's data.
QUONtech makes available framework materials and self-directed assessment tools, including the A.C.T.U.A.L. framework and outputs such as the Survival Score and Survival Horizon. These outputs are informational. They reflect the inputs provided and a point-in-time analysis. They are not a warranty, certification, audit opinion, or guarantee of any security, compliance, or business outcome, and they do not create a professional advisory relationship on their own. You are responsible for your own decisions and for engaging qualified professionals where appropriate. A formal engagement, if any, is governed by a separate written agreement.
Some Sites offer AI-assisted features, including the Skippy assistant and 404 Human Found agents. These features are provided to help with information and efficiency. They can produce errors or incomplete results and are not a substitute for professional judgment or a formal engagement. If you are dissatisfied with any AI feature, your sole remedy is to stop using it. Do not submit sensitive personal information, credentials, or confidential third-party data into any chat or AI feature on the Sites.
If you opt in to text messages from QUONtech LLC, you agree to receive account and service messages at the mobile number you provide, including appointment and session confirmations, reminders, document-ready alerts, and account notifications. Message frequency varies. Message and data rates may apply. You can reply HELP for help or STOP to opt out at any time; after you send STOP, you will receive one confirmation message and no further texts unless you opt in again. Consent to receive text messages is not a condition of purchasing any QUONtech product or service. Carriers are not liable for delayed or undelivered messages.
You may be able to submit feedback, suggestions, or other materials through the Sites (“Submissions”). You represent that you have the rights to provide them. We treat Submissions as non-confidential. By providing a Submission, you grant QUONtech a royalty-free, perpetual, irrevocable, worldwide, non-exclusive license to use, reproduce, modify, publish, and create derivative works from it, subject to applicable law and our Privacy Policy.
Submissions must not: violate any intellectual property, privacy, publicity, contract, or other right of any person; be unlawful, harmful, defamatory, harassing, obscene, or otherwise objectionable; be false or misleading; contain sensitive identifiers such as government ID numbers, financial account numbers, passwords, or security codes; or link to material you have no right to link to. We are not responsible for, and have no obligation to monitor, content submitted by users.
The Sites and Site Content, including the QUONtech, QUONlab, 404 Human Found, forcisos, and A.C.T.U.A.L. names and any related logos and marks, are owned by QUONtech or its licensors and are protected by intellectual property laws. Except as expressly allowed in these Terms or in writing by QUONtech, you may not copy, modify, distribute, publish, sell, license, or create derivative works from the Site Content, and you may not use our marks without our prior written consent. You acquire no ownership rights in the Site Content. No license is granted except as expressly stated here.
The Sites may link to third-party sites we do not control. Links are provided for convenience only. We are not responsible for the content, products, or privacy practices of any third-party site, and your use of them is at your own risk and subject to their terms. We may disable any unauthorized link to our Sites.
Access to quon.live demonstrations is granted after manual approval and is provided for evaluation only. Demo environments may use sample or non-production data, may change or be withdrawn at any time, and carry no warranty or service commitment. Do not enter real confidential or production data into a demo environment.
THE SITES AND SITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, QUONTECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT SITE CONTENT IS ACCURATE, COMPLETE, OR CURRENT. YOU ARE RESPONSIBLE FOR THE PRECAUTIONS YOU TAKE TO PROTECT YOURSELF AND YOUR SYSTEMS.
TO THE FULLEST EXTENT PERMITTED BY LAW, QUONTECH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITES OR SITE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, QUONTECH'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SITES OR THESE TERMS WILL NOT EXCEED THE GREATER OF the amounts you paid to QUONtech for access to the relevant Site during the twelve months before the claim arose, or one hundred US dollars (US $100). This allocation of risk reflects the fact that much of the Site Content is provided free of charge. Nothing in these Terms limits liability that cannot be limited under applicable law.
You agree to indemnify and hold QUONtech harmless from any claim, loss, or expense, including reasonable attorneys' fees, arising from your use of the Sites or Site Content, your Submissions, your breach of these Terms, or your violation of any law or third-party right. QUONtech may assume the exclusive defense of any matter subject to indemnification, and you will cooperate.
Your use of the Sites is subject to our Privacy Policy, which is incorporated into these Terms. We use reasonable physical, technical, and organizational safeguards to protect information, but no method of transmission or storage is fully secure, and we cannot guarantee absolute security. If we have reason to suspect a security issue affecting your account, we may suspend it without prior notice.
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules. You agree that any dispute relating to the Sites or these Terms will be brought exclusively in the state or federal courts located in Michigan, and you consent to their jurisdiction. Any claim must be brought within one year after it arises, or it is permanently barred, except where a longer period is required by law.
We may add, change, or remove features of the Sites at any time and have no obligation to maintain any particular feature. We may suspend or terminate your access to the Sites at any time, with or without notice, for any reason, including breach of these Terms.
No partnership, joint venture, employment, or agency relationship is created by these Terms. Our failure to enforce any provision is not a waiver. If any provision is found unenforceable, the rest remain in effect. You may not assign these Terms without our written consent; we may assign them. These Terms, together with the Privacy Policy and any separate client agreement, are the entire agreement between you and QUONtech regarding the Sites.
